You will need all files in the install directory including the mui folder.

However, I wouldn't replace Notepad.exe with EmEditor.exe. Just install EmEditor to the default install folder (usually C:\Program Files\EmEditor), and change the file type association if necessary from the Tools menu of EmEditor, Customize > File tab and click "Associate with EmEditor".
